These WunderGraph, Inc. Cloud Terms of Use (“Terms”), together with the sign-up information provided by you (as “Customer”), the WunderGraph Website Terms of Use, and the WunderGraph Website Privacy Policy (collectively, the “Agreement”) are the only terms governing WunderGraph’s provision to Customer of the WunderGraph Cloud Service. WunderGraph’s provision of the Service hereunder is expressly conditioned upon Customer’s assent to these Terms and the Agreement. WunderGraph and Customer may be referred to herein collectively as the "Parties" or individually as a "Party."
1. Definitions.
(a) “Customer Data” means any and all data and other information collected, uploaded, transmitted, submitted, posted, or otherwise received from Customer and hosted on the Service.
(b) "Service" means the WunderGraph Cloud service, delivered to Customer as a subscription at different free and paid levels of service.
(c) "Updates" means any bug fixes, patches, or other error corrections to the Service that WunderGraph generally makes available free of charge to all licensees unless such Update requires a paid subscription.
2. Eligibility; License.
(a) Eligibility. To sign up for the Service, Customer must have a functioning Github account and valid email address for receiving billing information and Service alerts.
(b) License Grant. Subject to Customer's compliance with all terms and conditions of this Agreement and payment of Fees, WunderGraph grants Customer a limited, worldwide, non-exclusive, revocable, non-sublicensable, and non-transferable license during the Service subscription term to use the Service solely for the purposes authorized under Customer’s Service subscription plan.
(c) Use Restrictions. Customer shall not use the Service for any unauthorized purposes, including copying, modifying, renting, selling, reverse engineering, or using the Service in an illegal manner.
(d) Reservation of Rights. WunderGraph reserves all rights not expressly granted to Customer in this Agreement.
3. Discontinuance or Modification of Service.
WunderGraph may discontinue or modify the Service at its discretion with advance written notice.
4. No Support; Suspension of Services; Usage Limits; Extensions
(a) WunderGraph provides no support for the Service unless a separate support contract is purchased.
(b) WunderGraph may suspend the Service under certain conditions, including maintenance, non-payment, or exceeding allowed usage limits.
(c) Customer acknowledges that each subscription plan has feature and/or usage limits; any unused credits will expire at the end of the month.
5. Fees and Payment; Service Upgrades.
(a) Fees. Customer consents to use of third-party merchants to facilitate payments. Subscription fees are due at the start of the subscription term.
(b) Taxes. All Fees are exclusive of taxes, for which Customer is responsible.
(c) Service Upgrades. Customer may upgrade its Service subscription plan level at any time.
6. Intellectual Property Ownership.
WunderGraph exclusively owns all right, title, and interest in and to the Service.
7. Warranty Disclaimer; Beta Disclaimer.
The Service is provided "AS IS". WunderGraph disclaims all warranties, including but not limited to implied warranties of merchantability and fitness for a particular purpose.
8. Indemnification.
Customer shall indemnify WunderGraph from any claims arising out of Customer's negligence or unauthorized use of the Service.
9. Limitations of Liability.
WunderGraph shall not be liable for any consequential, incidental, or indirect damages arising under this Agreement.
10. Term and Termination.
(a) Subscription terms can be monthly or annual, and the Agreement will auto-renew.
(b) Either party may terminate the Agreement with written notice in case of material breach.
(c) Upon termination, Customer’s access to the Service will also terminate.
11. Miscellaneous.
(a) Entire Agreement. This Agreement constitutes the entire agreement of the Parties.
(b) Governing Law. The Agreement is governed by the laws of the State of Florida.
(c) Assignment. WunderGraph may assign its rights hereunder without restrictions. Customer may not assign their rights without consent.
